Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the Service Marketplace website (https://servicemarketplace.me) (the “Service”) operated by CONNECTIONMAX PORTAL (“us”, “we”, or “our”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Definitions

  • Service Marketplace / Platform: Refers to the website (https://servicemarketplace.me) and any associated mobile applications or digital platforms operated by CONNECTIONMAX PORTAL.
  • User / You: Refers to any individual or entity accessing or using the Service, including Customers and Service Providers.
  • Customer: Refers to a User who seeks to book and receive services through the Platform.
  • Service Provider: Refers to a licensed company or qualified professional who offers and provides services through the Platform.
  • Services: Refers to the various wellness & relaxation, home, and elderly care services offered by Service Providers through the Platform.
  • Content: Refers to any text, images, video, audio, or other materials uploaded, posted, or displayed on the Platform by Users or Service Marketplace.
  • Booking: Refers to the act of a Customer requesting and confirming a service from a Service Provider through the Platform.

2. Acceptance of Terms

By accessing or using the Service Marketplace, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. If you do not agree with these Terms, you must not use the Service.

3. Eligibility and Accounts

  • Age Restriction: You must be at least 18 years of age to use the Service or register for an account. By using the Service, you represent and warrant that you are at least 18 years old.
  • Account Registration: To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • Account Security: You are responsible for maintaining the confidentiality of your account password and are solely responsible for all activities that occur under your account. You agree to notify Service Marketplace immediately of any unauthorized use of your account or any other breach of security. Service Marketplace will not be liable for any loss or damage arising from your failure to comply with this security obligation.
  • Termination of Account: Service Marketplace reserves the right to suspend or terminate your account at its sole discretion, without prior notice, for any reason, including but not limited to, a breach of these Terms, fraudulent activity, or conduct that may be harmful to Service Marketplace, other users, or third parties.

4. Role of Service Marketplace

  • Platform Provider: Service Marketplace acts solely as a platform to connect Customers with Service Providers. We facilitate the discovery and booking of services.
  • No Employment Relationship: Service Marketplace is not an employer, agent, or representative of any Service Provider. Service Providers are independent contractors who operate their own businesses.
  • No Endorsement: While Service Marketplace vets its Service Providers, we do not endorse any specific Service Provider. Our vetting process is designed to confirm licenses and qualifications, but Service Marketplace does not guarantee the quality, suitability, or safety of any service provided by a Service Provider.
  • No Responsibility for Services: Service Marketplace is not responsible for the actual services provided by Service Providers. Any disputes or issues arising from the performance of services are solely between the Customer and the Service Provider.
  • Dispute Resolution Facilitation (Optional, based on your business model): Service Marketplace may, at its discretion, offer tools or assistance to facilitate communication and resolution of disputes between Customers and Service Providers, but we are not obligated to do so and do not act as an arbiter.

5. For Customers

  • Booking and Payment:
    • Customers can browse Service Provider profiles and book services directly through the Platform.
    • By confirming a booking, you agree to pay the agreed-upon fees for the services.
    • Payment processing is handled by third-party payment processors. You agree to abide by their terms and conditions.
    • All payments are processed securely. Service Marketplace does not store your full payment card details.
  • Cancellations and Refunds:
    • Cancellation and refund policies are set by individual Service Providers and will be clearly communicated on their profiles or during the booking process.
    • Customers are responsible for understanding and adhering to the Service Provider’s cancellation policy.
  • Reviews and Ratings:
    • Customers may submit reviews and ratings for Service Providers after a service has been completed.
    • All reviews must be truthful, fair, and based on actual experience. Service Marketplace reserves the right to remove any review deemed inappropriate, false, or in violation of these Terms.
  • Communication:
    • Customers agree to communicate with Service Providers respectfully and professionally.

6. For Service Providers

  • Registration and Verification:
    • Service Providers must be licensed companies or qualified professionals with all necessary permits and insurance as required by UAE law and their respective industries.
    • You agree to provide accurate and complete documentation for verification purposes as requested by Service Marketplace.
    • Service Marketplace reserves the right to deny or revoke a Service Provider’s listing at its sole discretion if the provided information is deemed inaccurate or incomplete, or if the Service Provider fails to meet our standards.
  • Listing Services:
    • Service Providers are responsible for accurately describing their services, pricing, availability, and cancellation policies.
    • All services must comply with applicable UAE laws and regulations.
    • You agree not to list or offer any services that are illegal, harmful, offensive, or in violation of any third-party rights.
  • Service Delivery:
    • Service Providers are solely responsible for the quality, safety, and timely delivery of the services they provide to Customers.
    • You agree to perform services professionally and in accordance with industry standards.
  • Payments and Fees:
    • Service Marketplace will facilitate payments from Customers to Service Providers, subject to any platform fees or commissions agreed upon separately in a Service Provider Agreement.
    • You agree to adhere to Service Marketplace’s payment schedule and fee structure.
  • Compliance:
    • Service Providers agree to comply with all applicable UAE laws, regulations, and licensing requirements related to their services and business operations. This includes, but is not limited to, consumer protection laws, health and safety regulations, and data privacy laws.
  • Dispute Resolution:
    • Service Providers agree to cooperate in good faith to resolve any disputes with Customers that may arise from their services.

7. Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • In any way that violates any applicable federal, local, or international law or regulation in the UAE.
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
  • To impersonate or attempt to impersonate Service Marketplace, a Service Marketplace employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by us, may harm Service Marketplace or users of the Service or expose them to liability.
  • To transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware, or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

8. Intellectual Property Rights

  • The Service and its original content, features, and functionality are and will remain the exclusive property of Service Marketplace and its licensors.
  • Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Service Marketplace.
  • Users grant Service Marketplace a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, and distribute Content you submit on the Platform solely for the purpose of providing and promoting the Service.

9. Links to Other Websites

Our Service may contain links to third-party websites or services that are not owned or controlled by Service Marketplace.

Service Marketplace has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Service Marketplace shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Indemnification

You agree to defend, indemnify, and hold harmless Service Marketplace and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms; or c) your interaction with any Service Provider or Customer through the platform.

12. Limitation of Liability

In no event shall Service Marketplace, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

13. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Service Marketplace does not warrant that a) the Service will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

14. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the Emirate of Dubai, United Arab Emirates, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by the courts of Dubai, United Arab Emirates.

15. Changes to Terms and Conditions

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

17. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
